Renewable Energy Investment Company
Our client, a private equity firm specializing in renewable energy, would like to hire a mid-level lawyer to join their robust legal department.
The role is a mixture of corporate commercial, project finance, commercial real estate, construction and asset management.
Responsibilities include, but are not limited to:
- Reviewing, drafting, and advising on Membership Interest Assignment Agreements, MIPAS, membership interest certificates, energy project development matters pertaining to acquisitions, indorsements, purchase agreements, LLC agreements, board resolutions, partnership agreements, manager certificates and ancillary documents pertaining to joint ventures, financing, and re-structures.
- Leading and closing complex finance and investment closings i.e. construction loans, bridge loans, mezzanine loans, tax equity transactions, and conversion loans.
- Acquisitions of land, disposals of land, energy project development matters and dealing with all aspects of commercial real estate.
- Construction Service Agreements, Independent Contractor Agreements, FERC filings.
- Ensuring entity compliance, forming entities, registering entities in numerous different States
Experience:
- J.D. from a US accredited law school.
- Minimum of 7 years of post-qualification experience, ideally in New York
- Member in good standing of the State Bar.
- Prior in-house role experience preferred.
- Strong knowledge of renewable energy and investment management.
- Excellent drafting, negotiation, communication, and skills.
